1.1 Introduction:

Kyaa Matlab Network provides its services (described below as KMVN) to you via its website, www.kyaamatlabvoicenetwork.com (the “Site”), and its mobile applications and related services (collectively, such services, including any new features and applications, and the Site, the “Service(s)”), all of which are subject to the following Terms of Service (the “Terms of Service”). PLEASE READ THESE TERMS OF SERVICE CAREFULLY BECAUSE THEY GOVERN YOUR USE OF THE SITE AND SERVICES, 

1.2 Terms of Service Modifications: We retain the right to update or modify elements of these Terms of Service at any time in our sole discretion. If we do this, we will post the modifications on this page and identify the date these terms were last changed at the top of this page, and/or notify you, either through the Services’ user interface, an email message, or other reasonable methods and as required by applicable law. Any such changes will take effect fourteen (15) days after they are posted, unless they address new functionality of the Services or are made for legal reasons, in which case they will take effect immediately. 2. Use and Access to the Service

2.1 Use Description: The Kyaa matlab Voice Network service, as well as any content accessed through it, is for your personal and non-commercial use only. We provide you a limited, non-exclusive, non-transferable license to access the KMVN content and see your course(s) through the service on a streaming-only basis for that purpose with your Kyaa Matlab Voice Network purchase. No right, title, or interest is transferred to you except for the aforementioned limited license. You agree that the service will not be used for public performances. KMVN reserves the right to revoke your license at any moment. You shall immediately destroy all content downloaded or otherwise received through the service, as well as any copies of such materials, whether created in line with these Terms of Service or not.

2.2 Your Registration Obligations: In order to access and utilize some elements of the Service, you may be needed to register with KMVN. You promise to provide and maintain true, accurate, current, and complete information about yourself as prompted by the Service’s registration form if you choose to register for the Service. Our Privacy Policy governs your registration data as well as certain other personal information. If you are under the age of 13, you are not permitted to use the Service, whether or not you have registered. Furthermore, if you are under the age of 18, you may use the Service with or without registering only with your parent’s or guardian’s permission.

2.3 Member details, Password, and Security: You may not use another person’s email or give out your username and password to anybody else. All of the devices used to access the Service should be within your control. Other users may be able to access the Service through your account if you fail to maintain control of a device. They may also have access to some account information. You are solely responsible for any and all activities carried out using your password or account, and it is your obligation to keep your password safe and secure. You undertake to (a) promptly alert KMVN of any unauthorized use of your password or account, as well as any other security breach, and (b) ensure that you exit your account at the conclusion of each session when using the Service. If you do not comply with this Section, KMVN will not be liable for any loss or harm

2.4 Service Modifications: KMVN retains the right, with or without warning, to alter or discontinue the Service (or any portion thereof) temporarily or permanently. You agree that KMVN will not be liable to you or any third person if the Service is modified, suspended, or discontinued. We are under no duty to keep any of Your Account or Submitted Content for longer than is required by relevant law.

2.5 Usual and Proper Storage and Use Procedures:

You agree that KMVN may establish general practices and restrictions for usage of the Service, such as the maximum period of time that data or other content may be maintained by the Service and the maximum storage space that will be allowed on KMVN servers on your behalf. You acknowledge that KMVN has no responsibility or liability for any data or other content maintained or uploaded by the Service being deleted or not being stored. You understand that KMVN maintains the right to close accounts that have been inactive for a long time. You further accept that KMVN maintains the right, in its sole discretion, to change these general practices and limits at any time, with or without notice.

2.6 Mobile Services: The Service may include features such as I the ability to upload content to the Service from a mobile device, (ii) the ability to browse the Service and the Site from a mobile device, and (iii) the ability to access certain features through a mobile device application (collectively, the “Mobile Services”). If you use a mobile device to use the Service, your wireless service provider’s regular charges, data rates, and other costs may apply. Furthermore, your carrier may prevent or restrict you from downloading, installing, or using certain Mobile Services, and not all Mobile Services may function with all carriers or devices. You may submit your phone number when utilizing the Mobile Services. You consent to receiving calls and/or SMS, MMS, or text messages at the phone number you provide. We may share your phone numbers with our affiliates or service providers (such as customer service, billing or collections companies, and text message service providers) who have agreed to help us enforce our rights or provide our Services under these Terms of Service, our policies, applicable law, or any other agreement we may have with you. You agree that these parties may contact you through autodialed or prerecorded calls and text messages, as allowed by us, in order to carry out the above-mentioned activities, and not for their own. You promise to promptly update your KMVN account information if your mobile telephone number changes or is deactivated so that your communications are not transmitted to the person who gets your old number.

3. Terms and Conditions of Use

3.1 User Behaviour

All code, video, pictures, information, data, text, software, music, sound, photographs, graphics, messages, or other materials (“content”) that you upload, post, publish, display (hereinafter, “upload”), email, or otherwise use via the Service are strictly your responsibility. KMVN reserves the right to investigate and take appropriate legal action against anyone who, in KMVN’s sole discretion, violates this provision, including removing the offending content from the Service, suspending or terminating such violators’ accounts, and reporting you to law enforcement authorities. You agree to not use the Service to: • email or otherwise upload any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to upload under any law or under contractual or fiduciary relationships; (iii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful racially, ethnically or otherwise objectionable; or (vii) in the sole judgment of KMVN, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose KMVN or its users to any harm or liability of any type; • interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service; • violate any applicable local, state, national or international law, or any regulations having the force of law; • impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; • harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purpose of sending unsolicited emails or other unsolicited communications; • advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized;

3.2 Fees: KMVN reserves the right to adjust its fees at any time. If you continue to use the Service after the price change takes effect, you are agreeing to pay the new amount. All taxes related with the Services are your responsibility

KMVN reserves the right to adjust the price of Recurring Subscriptions at any moment, and will notify you of any price changes and, if applicable, how to accept them. Recurring Subscription price adjustments will take effect at the beginning of the next subscription month after the date of the price change. You accept the new price by continuing to use your Recurring Subscription after the price change takes effect, as permitted by local legislation. If you do not agree with the pricing changes, you have the option to reject them by cancelling your Recurring Subscription before they become effective. As a result, please ensure that you read any price change notification carefully.

3.3 Commercial Use: You agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, sell, resell, exploit, transfer, or upload any portion of the Service, use of the Service, or access to the Service for any commercial purposes, unless otherwise expressly authorized herein or in writing by KMVN. The Service is intended purely for your personal, non-commercial amusement.

4. Intellectual Property Rights

The KYAA MATLAB VOICE NETWORK brand and logos (collectively the “KM Trademarks”) are trademarks and service marks of KMVN. Other KMVN, product, and service names and logos that appear on the Service may be trademarks or service marks of their respective owners, who may or may not endorse, be affiliated with, or be related to KMVN. Nothing in these Terms of Service or the Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the KMVN Trademarks displayed on the Service without our express written permission. All goodwill generated as a result of the usage of KMVN Trademarks will be used solely for our advantage

. 4.1 Third-Party Material: KMVN will not be liable in any way for any third-party content or materials (including users), including, but not limited to, any mistakes or omissions in any content, or any loss or damage of any kind incurred as a consequence of the use of any such content. You recognize that KMVN does not pre-screen material, but that KMVN and its designees will have the right (but not the responsibility) to reject or delete any content made available through the Service in their sole discretion. Without limiting the foregoing, KMVN and its designees reserve the right to delete any content that violates these Terms of Service or that KMVN deems otherwise objectionable in its sole discretion. You agree to assess and assume all risks associated with the use of any content, including any reliance on its accuracy, completeness, or utility.

5. Indemnity and Release

To the fullest extent permitted by law, you agree to release, indemnify, and hold KMVN and its affiliates, as well as their officers, employees, directors, and agents, harmless from any and all losses, damages, expenses, rights, claims, actions of any kind, and injury (including death) arising out of or relating to your use of the Service, any User Content, your connection to the Service, your violation of these Terms of Service, or your infringement of these Terms of Service

You acknowledge and agree that you are solely responsible for your interactions with other users while using the Service, and that KMVN will have no liability or duty in this regard.
